Terms and conditions for using the NinjaBuy platform.

Definitions

  1. NinjaBuy Platform ("Platform"): The online platform operated by NINJA PLATFORM LLC, doing business as NinjaBuy, enabling users to submit product links and purchase requests for goods listed by third-party sellers on Chinese e-commerce marketplaces. The Platform facilitates procurement, warehousing, and international logistics services through its network of partners. The Platform includes the NinjaBuy website (ninjabuy.com) and any associated applications.
  2. User ("You"): Any individual or entity that registers an account on the Platform and uses its services.
  3. Seller: Third-party individuals or businesses listing products on Chinese e-commerce marketplaces (including but not limited to Taobao, 1688, Tmall, Weidian, and Pinduoduo).
  4. Procurement Partner: Third-party entities that fulfill purchasing requests submitted through the Platform.
  5. Logistics Provider: Third-party companies providing international shipping and delivery services.
  6. Warehousing Provider: Third-party facilities providing storage, measurement, photography, and packing services.
  7. Credit Balance: Store credit denominated in Chinese Yuan (CNY) maintained in the User's Platform account, used to pay for services.

1. Acceptance of Terms

By registering an account, topping up your credit balance, or using any service on the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms of Service. If you do not agree to any provision, you must stop using the Platform immediately.

The Platform reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform and take effect seven (7) days after posting. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.


2. Account

2.1. Users must be natural persons with full legal capacity or authorized representatives of a legal entity. By registering, you confirm you meet these requirements.

2.2. You are responsible for providing accurate, complete, and current registration information. If your information changes, you must update it promptly.

2.3. You are responsible for maintaining the security of your account credentials. The Platform is not liable for losses resulting from unauthorized access due to your failure to secure your account.

2.4. Accounts are non-transferable. You may not sell, rent, share, or otherwise transfer your account to any other person.

2.5. You must be at least 18 years old, or the age of majority in your jurisdiction if that is higher, to use the Platform. By registering, you represent that you meet this requirement. The Platform is not directed to children and does not knowingly provide services to minors.


3. Services

3.1. Platform Role

NinjaBuy is a platform connecting Users with procurement, warehousing, and international logistics services for products listed on Chinese e-commerce marketplaces. Users submit product links and purchase requests. The Platform's network of partners fulfills these requests and handles warehousing and shipping.

NinjaBuy does not sell products directly. The legal relationship for the purchase of goods is between the User and the Seller. Fees paid through the Platform for procurement, warehousing, and logistics services are collected on behalf of the respective service providers.

NinjaBuy is an independent service and is not affiliated with, endorsed by, or sponsored by Taobao, Tmall, 1688, Weidian, Pinduoduo, or any other marketplace or Seller. All third-party names, marks, and logos are the property of their respective owners and are used only to identify the marketplaces and products you ask us to purchase on your behalf.

3.2. Purchasing Service

You select products from supported Chinese e-commerce marketplaces and submit purchase requests through the Platform. Our procurement partners purchase the products on your behalf based on the information you provide (product link, quantity, size, color, and any other specifications).

The Platform and its procurement partners do not guarantee: product availability, pricing accuracy on the seller's listing, product quality or authenticity, or the seller's fulfillment timeline. If a purchase cannot be completed due to stock issues, price changes, or seller non-compliance, you will be notified and any applicable refund will be credited to your balance.

3.3. Warehousing Service

Products purchased through the Platform are delivered to the Platform's warehouse facilities. Upon arrival, items are:

  • Received and logged
  • Weighed and measured
  • Photographed (standard item photos)

Invoices, receipts, and shipping slips are removed from packages by default. Original product packaging is retained; outer shipping packaging is removed.

The Platform does not open sealed product packaging, power on electronic devices, or perform professional quality testing. Photography and basic verification of style, quantity, color, and size are provided as standard services. The photos serve as the User's primary means of verifying the received goods.

3.4. International Shipping Service

Once items are stored in the warehouse, the User may select items for international shipment. The User chooses a shipping method and destination. The Platform arranges shipment through third-party logistics providers.

International shipments are sent with the User as the consignee. The User is the importer of record and is solely responsible for all customs duties, import taxes, fees, and compliance with the destination country's import regulations.

The Platform declares the actual value of goods on customs forms. The Platform does not under-declare values, falsify customs information, or mark commercial shipments as gifts.

3.5. Optional Services

The Platform offers optional paid services that may be requested at the time of ordering or shipment creation, including but not limited to:

  • Detailed inspection
  • Additional photography
  • Power-on testing for electronics
  • Tag removal
  • Special packaging and reinforcement
  • Stretch film wrapping
  • Moisture-proof wrapping

Pricing and availability of optional services are displayed on the Platform at the time of request.


4. Credit Balance and Payments

4.1. Credit Balance

All transactions on the Platform are denominated in Chinese Yuan (CNY). Users maintain a credit balance on the Platform, which is used to pay for all services. Credits are pegged 1:1 to CNY.

Credits are store credit for use on the NinjaBuy Platform only. Credits are not a currency, stored-value product, financial instrument, or transferable to other users.

4.2. Top-Up

Users add credits to their balance by topping up through the payment methods supported on the Platform. Top-up amounts are converted to CNY and credited to the User's balance.

4.3. First Payment — Purchasing

When a User submits and confirms a purchase request, the following are deducted from the credit balance:

  • Product cost (as listed by the Seller, converted to CNY)
  • Domestic shipping cost (from Seller to warehouse, if applicable)
  • Service fee
  • Any optional item services requested

4.4. Second Payment — Shipping

When a User creates and confirms a shipment, the following are deducted from the credit balance:

  • Estimated international shipping cost (based on weight, dimensions, destination, and selected shipping method)
  • Handling fee (a flat fee per shipment)
  • Customs declaration fee (per parcel, varies by shipping method)
  • Storage fees (if applicable, see Section 5)
  • Any optional packing services requested

4.5. Shipping Cost Reconciliation

The shipping cost charged at the time of shipment creation is an estimate based on individual item weights and dimensions. After packing, the Platform weighs the final package.

  • If the actual cost is less than the estimate, the difference is refunded to the User's credit balance after the package ships.
  • If the actual cost is more than the estimate, the Platform may absorb small overages at its discretion. For material differences, the shipment is held and the User is notified of the additional amount due. The User may approve the difference to proceed, or request unpacking.

4.6. Held Shipments

A shipment that has been packed but is not yet dispatched — because the User has not approved an adjusted cost, or has requested modifications to the shipment — is considered held.

  • Items inside a held shipment: The individual storage clocks of items included in the shipment are paused while the shipment is held.
  • Held shipment storage: The packed shipment itself becomes a stored object with its own storage period. Free storage period: sixty-nine (69) days from the date the shipment was packed. After the free period, storage fees on the held shipment are charged at the rate disclosed on the Platform.
  • Unpacking: The User may request unpacking of a held shipment at any time, at no charge. Upon unpacking, items return to individual warehouse storage at the day at which their storage clock was paused. Any accrued held-shipment storage fees are deducted from the User's credit balance at the time of unpacking.
  • Shipping a held shipment: To dispatch a held shipment, the User must pay any adjusted shipping cost plus any accrued held-shipment storage fees.
  • Abandonment: If a held shipment exceeds its free storage period with no User action to ship, unpack, or extend storage, the shipment is subject to disposal under the same rules as expired warehouse storage (see Section 5.3).

4.7. Refunds to Balance

Refunds from cancellations, returns, or overpayments are credited to the User's credit balance. Refunds are not issued to external payment methods unless the User's account is being closed.


5. Warehouse Storage

5.1. Free Storage Period

Items are stored free of charge for sixty-nine (69) days from the date the item status changes to "Arrived in Warehouse."

5.2. Extended Storage

After the free storage period, the User may purchase additional storage time. Extended storage is priced at ¥0.10 per item per day and is deducted from the User's credit balance.

5.3. Disposal After Storage Expiration

Items that have not been shipped, claimed, or had their storage extended beyond the free period will be disposed of. The User will be notified at multiple points before expiration (in-app and via email), but disposal is not contingent on these notifications being read or acted upon. The Platform is not liable for disposed items.


6. Cancellations and Refunds

6.1. Cancellation by User

Procurement statuses and cancellation rights

Processing — Your order has been submitted but not yet ordered from the seller. You may cancel at this stage. Item cost and service fee are refunded to your credit balance.

Ordered — The item has been ordered from the seller and is awaiting shipment to our warehouse. Cancellation is attempted on a best-effort basis by negotiating with the seller. If the seller accepts the cancellation, the item cost is refunded to your credit balance within 72 hours. Service fees are non-refundable at this stage.

Received / Awaiting QC — The item has arrived at the Ninja Network warehouse and is being inspected and photographed. You may review the item photos in your dashboard. If you want to return the item, a return to the seller must be requested (see Section 6.5). Cancellation of the order itself is no longer possible — the item has been purchased and received.

Complete — The item has passed inspection and is ready to ship. You may select it for a shipment at any time. You may also request a return to the seller (see Section 6.5). If you do not create a shipment, the item remains in storage subject to the storage rules in Section 5.

Shipment dispatched — The item has been included in an international shipment that is in transit. Cancellation is not possible. No refund is available for items in transit.

6.2. Service Fee Refund Policy

Service fees are non-refundable once the item has been ordered from the seller.

6.3. Return Shipping Fees

Domestic return shipping within China is at the User's cost. The return shipping fee varies by item weight and seller location and is deducted from the User's credit balance.

6.4. Refund Processing

Refunds are credited to the User's credit balance. Refunds that require seller negotiation or return coordination may be subject to a processing fee. Any applicable fees will be disclosed before the refund is initiated.

6.5. Conditions for Returns

  • Returns must be requested before international shipment. Once an item has been shipped internationally, return is not possible.
  • Items must be in original, unused condition with all original packaging.
  • Not all sellers accept returns. The Platform negotiates on the User's behalf but cannot guarantee acceptance.
  • Items damaged, worn, or altered by the User are not eligible for return.
  • The Platform reserves the right to deny return requests that do not meet these conditions.


8. Restricted and Prohibited Items

The Platform will facilitate the purchase and shipment of any items that are lawful, legal, and supported by available shipping methods.

Items that require specific shipping routes (such as items containing batteries, liquids, or cosmetics) will be flagged, and available shipping methods will be displayed accordingly.

The Platform will not facilitate the purchase or shipment of items that are illegal to export from China, illegal to import into the User's country, or otherwise prohibited by applicable law. This includes but is not limited to weapons, controlled substances, hazardous materials, and counterfeit goods.

The Platform reserves the right to refuse any order or shipment at its discretion, including prohibited items, potentially fraudulent orders, or items incompatible with available shipping lines. If an order is refused, the item cost is refunded to the User's credit balance.


9. Customs and Import Responsibility

The User is the importer of record for all international shipments. The User is solely responsible for:

  • All customs duties, import taxes, VAT, GST, and processing fees imposed by the destination country
  • Compliance with all applicable import regulations in the destination country
  • Providing any documentation required by customs authorities

The Platform declares the actual value of goods on customs documentation. The Platform does not under-declare, falsify values, or misrepresent the nature of shipments.

If a shipment is held by customs, the Platform will provide available documentation (invoices, item descriptions) to assist the User. The User is responsible for any costs associated with customs clearance, including storage fees at customs facilities.


10. Disclaimers, Liability, and Indemnification

10.1. Platform Responsibility

The Platform is responsible for:

  • Accurately processing purchase requests based on User-provided information
  • Receiving and storing items at its warehouse facilities
  • Providing standard item photography and measurements
  • Packing and dispatching shipments as requested
  • Maintaining accurate credit balance records
  • Communicating with sellers on the User's behalf

10.2. Exclusions

The Platform is not responsible for:

  • Product quality, authenticity, fitness for purpose, or accuracy of seller listings
  • Customs delays, seizures, duties, fines, or regulatory actions
  • Carrier delays, loss, or damage during international transit (except as covered by insurance purchased through the Platform)
  • Items lost, damaged, or stolen after delivery
  • Seller refusal to accept returns or issue refunds
  • The User's compliance with import regulations in the destination country
  • Losses arising from circumstances beyond the Platform's reasonable control

10.3. Maximum Liability

The Platform's total liability to any User for any claim arising out of or related to these Terms shall not exceed the amount paid by the User to the Platform in the twelve (12) months preceding the claim, or ¥10,000, whichever is less.

10.4. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, the Platform disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. The Platform does not warrant that the service will be uninterrupted, error-free, or secure, or that any product purchased through the Platform will meet your expectations. No advice or information you obtain from the Platform creates any warranty not expressly stated in these Terms.

10.5. Indemnification

You agree to indemnify, defend, and hold harmless the Platform, NINJA PLATFORM LLC, and its officers, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party, including customs, import, or export regulations in any jurisdiction; and (d) the products you instruct the Platform to purchase, import, or ship on your behalf. The Platform may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with the Platform's defense.


11. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED BY INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.

11.1. Informal Resolution First

If you have a dispute regarding your order or any service provided through the Platform, you agree to first contact our support team and give us a reasonable opportunity to resolve it. Most concerns are resolved this way. You must provide a written description of the dispute and your contact information, and allow at least thirty (30) days for us to respond before commencing arbitration. This informal-resolution requirement is a precondition to starting an arbitration or other proceeding.

We strongly encourage Users to contact the Platform before initiating a chargeback or dispute with their payment provider. Chargebacks initiated without prior communication with the Platform may result in account suspension.

11.2. Binding Individual Arbitration

If the dispute is not resolved informally, it shall be resolved by final and binding arbitration on an individual basis, rather than in court, except as set out in Section 11.5. This agreement to arbitrate is governed by the U.S. Federal Arbitration Act (FAA). The arbitration shall be administered by a recognized arbitration provider under its consumer arbitration rules then in effect, the seat of arbitration shall be the State of Wyoming, United States, and the arbitrator shall apply the governing law stated in Section 14. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this agreement to arbitrate, except that a court shall decide the enforceability of the class-action waiver in Section 11.3.

11.3. Class Action and Collective Relief Waiver

To the fullest extent permitted by applicable law, you and the Platform agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, private-attorney-general, or representative proceeding. The arbitrator may not consolidate more than one person's claims, may not preside over any form of class or representative proceeding, and may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

11.4. Non-Severability of the Waiver

The class-action waiver in Section 11.3 is a material and non-severable part of this Section 11. If the waiver in Section 11.3 is found to be unenforceable as to a particular claim or request for relief, then the agreement to arbitrate in Section 11.2 shall not apply to that claim or request for relief, and that claim or request for relief shall instead proceed in a court of competent jurisdiction — but the parties do not consent to class, collective, or representative arbitration under any circumstances. The remainder of this Section 11 shall remain in full force.

11.5. Exceptions and Opt-Out

Notwithstanding the above:

  • Small claims. Either party may bring an individual claim in a small-claims court of competent jurisdiction instead of arbitration, so long as it remains an individual proceeding.
  • Injunctive relief. Either party may seek injunctive or equitable relief in court to protect its intellectual property or account security.
  • Opt-out. You may opt out of this Section 11 (Sections 11.2–11.4) by sending written notice to [email protected] within thirty (30) days of first accepting these Terms, stating your name, account email, and an unambiguous statement that you wish to opt out of arbitration. Opting out does not affect any other part of these Terms.

11.6. Local Law

Nothing in this Section 11 limits any non-waivable right you may have under the mandatory consumer-protection laws of your country of residence. Where such laws prohibit pre-dispute arbitration agreements or class-action waivers for consumers, Sections 11.2 through 11.4 apply only to the extent permitted by those laws, and the remaining Terms continue to apply.


12. Privacy and Data

The Platform collects and analyzes usage, transaction, and traffic-source data from your use of the Platform to operate, secure, personalize, and continuously improve its services — including to understand how customers discover NinjaBuy and what they value. We use this data to make the product better. We do not sell it, and we do not share it with advertisers or data brokers. How we collect, use, and protect your data is described in full in the Privacy Policy.

By using the Platform, you consent to this collection and processing. If you do not agree to it, do not use the Platform.


13. Modifications and Termination

13.1. Modification of Services

The Platform reserves the right to modify, suspend, or discontinue any service at any time without prior notice.

13.2. Account Termination

The Platform may suspend or terminate User accounts that violate these Terms. Upon termination, remaining credit balance will be handled in accordance with applicable law.

13.3. User-Initiated Closure

Users may request account closure by contacting support. Outstanding orders must be completed or cancelled before closure. Remaining credit balance will be refunded to the User's original payment method, minus any applicable fees.


14. General

14.1. These Terms are governed by the laws of the State of Wyoming, United States.

14.2. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

14.3. These Terms, together with the Privacy Policy and any service-specific terms displayed on the Platform, constitute the entire agreement between the User and the Platform.

14.4. The Platform's failure to enforce any right or provision does not constitute a waiver of such right or provision.

14.5. You may not assign or transfer these Terms, or any rights or obligations under them, without the Platform's prior written consent; any attempted assignment in violation of this section is void. The Platform may assign these Terms, in whole or in part, to any successor or affiliate, including in connection with a merger, acquisition, or sale of assets.


15. Acceptable Use

When using the Platform, you agree that you will not:

  • Use the Platform for any unlawful purpose, or to purchase, import, or ship items in violation of any applicable law (see Section 8);
  • Provide false, misleading, or fraudulent information, or impersonate any person or entity;
  • Initiate fraudulent chargebacks or payment disputes, or use stolen or unauthorized payment methods;
  • Use the Platform to launder money or move funds for any illegal purpose;
  • Resell, rent, or transfer your account, or create accounts by automated means;
  • Access the Platform through scraping, bots, or other automated means except as expressly permitted, or attempt to disrupt, overload, or circumvent the security or access controls of the Platform;
  • Infringe the intellectual property or other rights of the Platform or any third party.

Violation of this section is a material breach of these Terms and may result in suspension or termination of your account under Section 13, forfeiture of the disputed transaction, and any other remedies available at law.
